The Norfolk Office of Woods Rogers Vandeventer Black seeks a Corporate Paralegal to support Business Practice Group.
Job Description:
The Corporate Paralegal will work on corporate transactional matters and other projects that are high value and complex. Will support attorneys both in Norfolk and across the firm's five locations within Virginia.
Key Responsibilities:
Draft and file documents to incorporate/form, register/qualify, amend, convert, and dissolve entities of all types in all jurisdictions;
Prepare and file annual reports in all states/track filing requirements and deadlines;
Prepare corporate documents including consents, resolutions, operating agreements, bylaws;
Obtain Employment Identification Numbers from the IRS;
Create and maintain corporate minute books and manage paper and electronic stock ledgers;
Preform UCC searches; draft UCC financing statements, amendments, and terminations;
Handle UCC tax lien, judgement, and pending litigation search requests in all states;
Obtain certificates of good standing and certified documents from all states
Develop strong working relationships with partners and lawyers in all sectors/departments
Contribute to the identification of innovative services and methods to assist in achieving efficiencies and continual process improvement
Assist on other non-corporate projects as needed
Qualifications and Skills:
Bachelor's Degree or Paralegal Certificate from an ABA approved program preferred
At least 2 years of experience working in a transactional legal context
Strong attention to detail
Excellent writing and organizational skills - used to balancing work priorities and managing deadlines
Working knowledge of Microsoft Word, PowerPoint, Excel, Outlook, and Teams
Good decision -making, interpersonal, andcommunication skills
Ability to work individually and within a team of various experience levels in a fast-paced environment
